Freelancer Agreement

iDT Freelancer Agreement | Version 1.0

Ikusasa Digital Transformation (Pty) Ltd | Registration No. 2024/720221/07

1. Independent Contractor

The Freelancer acknowledges they are not an employee of Ikusasa Digital Transformation (iDT) and has no entitlement to salary, UIF, leave, pension, medical aid, or bonuses. The Freelancer is solely responsible for their own SARS registration, income declaration, tax returns, and VAT obligations where applicable. iDT shall not submit tax returns, calculate tax, or provide tax advice on behalf of the Freelancer.

2. Scope of Work

The Freelancer will be assigned or may select tasks/projects made available through the Freelancer Portal. The Freelancer agrees to log hours worked accurately and honestly against the specific task performed, with a description of the work completed.

3. Accurate Time Logging

The Freelancer warrants that all hours submitted through the portal reflect actual time spent performing the assigned work. iDT reserves the right to reject, adjust, or query any submission it reasonably believes to be inaccurate, inflated, or unsubstantiated, without liability to the Freelancer.

4. Review and Approval

All logged hours are subject to review and approval by iDT before becoming eligible for payment. iDT may approve, reject, or request clarification on any submission at its sole discretion. Rejected submissions do not constitute a breach of this Agreement and are not payable.

5. Payment Terms

Rate: Each task defines its own hourly rate, as shown in the Freelancer Portal at the time work is logged against it. The Freelancer accepts the displayed rate for that task by logging hours against it.

Calculation: Payment is calculated as approved hours multiplied by the task's hourly rate, batched into a payment run covering a defined period.

Financial Review: Every payment batch is subject to a financial review by iDT before being approved for processing.

Processing: Approved payment batches are processed and paid out via electronic funds transfer to the banking details on file. iDT will provide a payment reference once a batch has been processed.

6. Confidentiality

The Freelancer agrees not to disclose any client information, source code, internal pricing, commercial strategies, or business documentation belonging to iDT or its clients, during or after the term of this Agreement.

7. Intellectual Property

All work product, code, designs, documentation, and deliverables created by the Freelancer while performing tasks under this Agreement are considered work made for hire and become the exclusive property of Ikusasa Digital Transformation (Pty) Ltd upon submission. The Freelancer waives any claim to ownership of such work product.

8. Authority

The Freelancer acknowledges they may not sign contracts, negotiate pricing, make promises, represent themselves as an iDT employee, or legally bind iDT in any way.

9. Quality and Conduct

The Freelancer agrees to perform assigned work to a professional standard and to communicate promptly and honestly regarding progress, blockers, or an inability to complete a task. iDT reserves the right to reassign or withdraw a task at its discretion.

10. Fraud Protection

iDT reserves the right to reject submissions, withhold payment, suspend Freelancer accounts, or terminate this Agreement where fraudulent, misleading, or unethical conduct is suspected or confirmed.

11. Data Protection (POPIA)

Any personal information the Freelancer submits to iDT will be processed in accordance with the Protection of Personal Information Act, 2013 (Act No. 4 of 2013) (POPIA), solely for the purposes of administering the Freelancer Programme and processing payments.

12. Right to Modify the Programme

iDT reserves the right to modify, suspend, or terminate the Freelancer Programme, including task availability, rates, and payment schedules, by providing reasonable written notice to active Freelancers.

13. Termination

Either party may terminate participation in the Freelancer Programme at any time by providing written notice to the other party. Upon termination: (a) approved, unbatched hours remain payable in the next scheduled payment run; (b) submitted but unapproved hours are forfeited unless separately agreed in writing; (c) suspected fraud or material breach results in immediate termination and forfeiture of unpaid, unreviewed submissions.

14. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the Freelancer Programme and supersedes all prior discussions, representations, or understandings, whether oral or written, relating to the subject matter hereof.

15. Electronic Acceptance

By selecting "I Agree" and completing registration, the Freelancer acknowledges that this constitutes a valid electronic signature in terms of the Electronic Communications and Transactions Act, 2002 (Act No. 25 of 2002), and agrees to be legally bound by the terms of this Agreement.

16. Governing Law

This Agreement is governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from this Agreement shall be subject to the jurisdiction of the South African courts.
