1. Independent Contractor
The Partner acknowledges they are not an employee of Ikusasa Digital Transformation (iDT) and has no entitlement to salary, UIF, leave, pension, medical aid, or bonuses. The Partner is solely responsible for their own SARS registration, income declaration, tax returns, and VAT obligations where applicable. iDT shall not submit tax returns, calculate tax, or provide tax advice on behalf of the Partner.
2. Conflict of Interest
The Partner declares that referrals submitted do not violate any existing employment contracts, and that they have obtained required employer approval where applicable and disclosed all conflicts of interest. iDT accepts no liability arising from undisclosed conflicts of interest.
3. Confidentiality
The Partner agrees not to disclose any client information, quotations, internal pricing, commercial strategies, source code, or business documentation belonging to iDT or its clients, during or after the term of this agreement.
4. Authority
The Partner acknowledges they may not sign contracts, negotiate pricing, make promises, represent themselves as an iDT employee, or legally bind iDT in any way. The Partner acts solely as an introducer of business.
5. Commission Rules
Qualifying Services: Commission is earned on qualifying project work and qualifying recurring services only, as listed in the iDT Service Catalogue. Not all services qualify for partner commission.
Project Work: A one-time commission of 10% of the invoiced amount is payable on qualifying once-off projects (e.g. website design, custom development).
Recurring Services: A commission of 10% of the monthly invoiced amount is payable on qualifying recurring services (e.g. hosting, social media management) for a maximum period of 12 consecutive months from the date the client first pays. No commission is payable after the 12-month period has elapsed.
Cooling-Off Period: All commission payments are subject to a 30-day cooling-off period from the date the client payment clears. Commission will only be released and paid after this period has elapsed without a refund, chargeback, or cancellation.
Payout Schedule: Approved commissions are paid on or before the 7th business day of each calendar month, covering commissions that cleared the cooling-off period in the prior month.
General Conditions: Commission is only payable when the referred client has signed a contract, payment has cleared in full, and the deal remains active. Cancelled, refunded, or disputed deals earn no commission.
6. Anti-Circumvention
The Partner agrees not to directly or indirectly circumvent iDT by diverting, soliciting, or accepting work from any client introduced to iDT through the Partner Programme, for a period of 24 months following the date of introduction. Any breach of this clause may result in immediate termination of the Partner account and forfeiture of all unpaid commissions.
7. Fraud Protection
iDT reserves the right to reject referrals, suspend Partner accounts, withhold commissions, or terminate this Agreement where fraudulent, misleading, deceptive, or unethical conduct is suspected or confirmed. iDT is not required to provide reasons for such action where doing so may prejudice an investigation.
8. Client Ownership
All clients introduced through the Partner Programme become clients of Ikusasa Digital Transformation (Pty) Ltd. The Partner acknowledges that all contracts, invoices, intellectual property, customer relationships, and ongoing engagements remain the sole property of iDT. The Partner has no claim over any client relationship, whether during or after their participation in the Partner Programme.
9. Intellectual Property
All logos, branding, proposals, templates, marketing material, software, documentation, and intellectual property supplied by iDT to the Partner remain the exclusive property of Ikusasa Digital Transformation (Pty) Ltd. The Partner may not reproduce, alter, distribute, or use iDT intellectual property for any purpose other than promoting the Partner Programme using approved materials.
10. Right to Reject Referrals
iDT reserves the sole discretion to accept or reject any referral without providing reasons. Rejection of a referral does not constitute a breach of this Agreement and no commission is payable on rejected referrals.
11. Marketing Rules
Partners may promote iDT using approved branding and marketing material only. Partners may not create misleading advertisements, alter the iDT logo, make false claims regarding iDT services or pricing, or represent themselves as employees or official agents of iDT. Any breach may result in immediate termination.
12. Data Protection (POPIA)
The Partner confirms that any personal information submitted to iDT, including client contact details, has been lawfully obtained and that the relevant data subject has consented to their information being shared with iDT for the purpose of receiving a quotation or service. This is in accordance with the Protection of Personal Information Act, 2013 (Act No. 4 of 2013) (POPIA). The Partner indemnifies iDT against any claim arising from unlawfully obtained personal information submitted by the Partner.
13. Right to Modify the Programme
iDT reserves the right to modify, suspend, or terminate the Partner Programme, or to amend commission structures and qualifying service categories, by providing reasonable written notice to active Partners. Continued participation after notice constitutes acceptance of the revised terms.
14. Termination
Either party may terminate participation in the Partner Programme at any time by providing written notice to the other party. Upon termination: (a) approved commissions that have cleared the cooling-off period remain payable on the next scheduled payout date; (b) commissions not yet approved or still within the cooling-off period are forfeited; (c) suspected fraud or material breach results in immediate termination and forfeiture of all unpaid commissions.
15. Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the Partner Programme and supersedes all prior discussions, representations, or understandings, whether oral or written, relating to the subject matter hereof.
16. Electronic Acceptance
By selecting "I Agree" and completing registration, the Partner acknowledges that this constitutes a valid electronic signature in terms of the Electronic Communications and Transactions Act, 2002 (Act No. 25 of 2002), and agrees to be legally bound by the terms of this Agreement.
17. Governing Law
This Agreement is governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from this Agreement shall be subject to the jurisdiction of the South African courts.
